Jurisdiction
This agreement shall be governed by the laws of the State of California without giving effect to its conflicts of law principles, and venue shall be in the state or federal courts located in the State of California. If any provision of this agreement is deemed unlawful, void or unenforceable, then such provision shall be severed from the agreement and the remainder of the agreement shall remain in effect.
Termination
This agreement may be terminated by the MCBA-SoCal at any time without notice. In the event of termination, you are no longer authorized to have access to the site, and all limitations on the MCBA-SoCal's liability and on your use of the MCBA-SoCal material shall survive. These Terms and Conditions, along with any additional rules or conditions referred to herein and the MCBA-SoCal Privacy Policy, constitute the entire agreement and understanding between you and the MCBA-SoCal as to your use of the MCBA-SoCal website, superseding all prior or contemporaneous communications and/or proposals. These Terms and Conditions are severable, and in the event any provision is determined to be invalid or unenforceable, such invalidity or unenforceability shall not in any way affect the validity or enforceability of the remaining provisions. A printed version of these Terms and Conditions shall be admissible in judicial or administrative proceedings based upon or relating to use of the MCBA-SoCal website to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

The MCBA-SoCal shall provide notice to you promptly of any such claim, suit or proceeding and shall reasonably cooperate with you, at your expense, in your defense of any such claim, suit or proceeding.
